1. Acceptance of Terms

By accessing, registering, or using the Introkite platform, website (introkite.com), or mobile applications (iOS / Android), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

2. Intermediary Status & Section 79 Safe Harbor (IT Act, 2000)

CRITICAL INTERMEDIARY DISCLAIMER: Introkite operates strictly as an Intermediary technology provider under Section 79 of the Information Technology Act, 2000 (India). Introkite provides self-service software tools for professionals to create digital business cards and portfolios. Introkite does NOT author, edit, verify, sanction, guarantee, or endorse any user-uploaded content, property listing, credential, price quote, or business claim.

3. User & Client Responsibilities (No Platform Liability)

• Professional Content Ownership & Accuracy: You (the account holder) are solely and exclusively responsible for all images, text, media, videos, property listings, contact information, and links published on your Introkite card. You warrant that you own or hold all required licenses and consents for all published content.
• Client-to-Professional Transactions: Introkite is NOT a party to any contract, deal, negotiation, representation, transaction, or agreement conducted between professionals and their clients/visitors. Any engagement, hiring, service delivery, or payment made between a client and a professional occurs strictly at their own risk.
• Dispute Resolution Between Users & Clients: Introkite shall have zero involvement, liability, or obligation in resolving any dispute, claim, refund demand, or legal action arising between a professional and their client.

4. Prohibited Content & Account Termination

Users agree not to upload, transmit, or publish content that:

• Is fraudulent, false, misleading, deceptive, or impersonates any third party.
• Infringes any copyright, trademark, patent, or intellectual property right.
• Violates any applicable local, state, national, or international law of India.
• Contains malicious code, viruses, or automated scraping scripts.

Introkite reserves the right, in its sole discretion, to suspend or terminate accounts and remove content violating these guidelines without prior notice or liability.

5. User Indemnification (Pushing Liability to Users)

You agree to fully defend, indemnify, and hold harmless Introkite, its parent entity, directors, officers, employees, and agents from and against any and all claims, liabilities, losses, damages, fines, expenses, or legal fees (including attorney fees) arising out of or related to:
(a) Your use of the platform;
(b) Any content, media, or listings published on your digital card;
(c) Any interaction, contract, or dispute between you and your clients or visitors; or
(d) Your violation of these Terms or any applicable laws of India.

6. Subscription Plans, Top-ups & Print Orders

• Subscriptions: Introkite offers Starter (Free), Pro, and Elite tiers. Subscriptions renew automatically unless cancelled prior to the renewal date via your account or app store settings.
• Physical Printed Cards: Physical business card orders are custom printed. Once an order status advances to production, custom print fees are non-refundable unless defective upon arrival.
• Pricing Adjustments: Introkite reserves the right to modify subscription pricing or tier limits upon reasonable prior notice.

7. Disclaimer of Warranties & Limitation of Liability

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, INTROKITE DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL INTROKITE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. INTROKITE’S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO INTROKITE IN THE PRECEDING THREE (3) MONTHS OR ₹1,000 INR, WHICHEVER IS LESS.

8. Governing Law & Exclusive Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the platform shall be subject to the exclusive jurisdiction of the competent Courts situated in Chennai, Tamil Nadu, India.
